A. Employee Benefit Trusts (EBT)
EPCI Trust Banking assists corporation in
establishing and managing an EBT to provide a
systematic arrangement for the payment of benefits
to employees.
Customized Retirement Plan:
1. Defined Benefit Plan (Gratuity Plan) – A
plan established and maintained by an employer to
provide for the payment of definitely determined
benefits to their employees totally and
immediately after retirement.
2. Defined Contribution Plan (Provident Plan)
– A plan established and maintained by an
employer who is committed to contribute a fixed
percentage (%) of the employees’ compensation
regardless of whether the employees choose to
contribute themselves or not.
3. Hybrid Plan
a) A Defined Benefit plan with an option for
the employees
to participate and/or contribute.
b) A Defined Contribution plan with minimum
defined benefits.
B. Corporate Investment Services
1. Revocable Trust Account (RTA) – EPCI
Trust Banking acts as Trustee and manages the
funds within a portfolio mix of fixed income
and/or equities investments according to the
short-term and longterm objectives of the company
and the guidelines set by EPCI Trust Banking.
2. Pre-Need Company Funds – EPCI Trust
Banking manages pre-need funds such as pension,
life or educational plans. Trust Banking acts as a
Trustee or Investment Manager of pre-need funds in
compliance with SEC regulations to deposit in
trust a certain percentage of the premiums
collected from policyholders.
3. Investment Management Account (IMA) –
EPCI Trust Banking functions as a fund manager of
a company on a principal-agent relationship and
manages all financial assets according to the
objectives and guidelines set by the company and
EPCI Trust Banking.

SPECIAL CORPORATE TRUST SERVICES

A. Special Trusts
1. Collateral/Mortgage Trust
EPCI Trust Banking acts as Trustee under a
Collateral Trust Agreement (CTA) or Mortgage Trust
Indenture (MTI). The corporate borrowers’
properties are held by the bank as Trustee and are
used as collateral for a syndicated loan or bond
issue or other obligations of the borrower or bond
issuer.
2. Loan/Security Agency
EPCI Trust Banking acts as a liaison between the
corporate borrower and a consortium of creditors
to ensure that all covenants under Loan Agreements
and Collateral Trust Agreements (CTA) or Mortgage
Trust Indentures (MTI) are faithfully complied
with.
3. Custodianship
EPCI Trust Banking acts as a custodian to safekeep
assets, usually stocks or bonds.
4. Escrows
EPCI Trust Banking acts as an independent third
party to two or more principals.
5. Court Trusts and Guardianships
EPCI Trust Banking as appointed by a court of
competent jurisdiction, or under agreements, acts
as trustee or fiduciary to trustors or principals
to manage and distribute the properties of a
principal.
6. Life Insurance Trusts
EPCI Trust Banking is appointed Trustee under life
insurance trust agreements. The Trustor makes his
life insurance payable to EPCI Trust Banking, who
shall manage and distribute the proceeds in
accordance with the dispositive provisions of the
agreement. This is also considered as an estate
planning tool.
B. CORPORATE AGENCY SERVICES
1. Settlement Bank – EPCI Trust Banking
facilitates the cash settlement of daily trades of
the member-brokers of the Philippine Stock
Exchange (PSE). Also acts as Cash Settlement Bank
for various fixed income securities trading and
long-term negotiable certificates of deposits (LTNCDs).
2. Transfer Agency/Transfer Registrar –
EPCIB Trust Banking handles the issuance and
cancellation of shares of stock of an issuer
corporation and registers the transaction in the
stock and transfer books of that corporation. EPCI
Trust Banking also serves as a subscription agent
during stock rights offerings, and dividend paying
agent for both cash and stock dividend
declarations. EPCI Trust Banking also acts as a
registrar for the issuance and cancellation of
evidences of investment or participation in
long-term commercial paper issues, mutual funds,
asset-backed securities issues, fixed income
securities and LTNCDs.
3. Paying Agency – EPCI Trust Banking acts
as paying agent for interest and principal
payments to various fixed income securities
holders, and paying agent of cash dividends,
payable to al Philippine Central Depository (PCD)
participant members.
4. Receiving Agent for Initial Public Offerings
– EPCI Trust Banking acts as agent to receive all
subscription agreements and payments for
subscription to shares during the offering period
for Initial Public Offerings (IPOs) of stocks,
fixed income securities and LTNCDs.
5. Escrow Agent for Locked-up Shares – EPCI
Trust Banking acts as agent to receive and
safekeep stock certificates of original and
controlling stockholders of an issuer corporation
whose shares are being listed and traded for the
first time in the subject shares shall not be
released to the said shareholders until the end of
a required “lock up” period.
